Introduction

These Terms & Conditions ("Terms") constitute a legally binding agreement between you and SIDAN Corp, a Delaware corporation operating in Austin, Texas ("SIDAN Corp," "we," "us," or "our"), governing your access to and use of the Settl websites, software applications, and related services we make available (collectively, the "Platform").

The Platform is a business-to-business ("B2B") service. We provide the Platform to moving companies ("Business Customers"), who in turn may make certain customer-facing features available to their end customers ("End Users"). These Terms apply to all users of the Platform, including Business Customers, their authorized staff, and End Users.

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Platform.

1. Eligibility

The Platform is intended for use by adults only. By using the Platform, you represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Account Registration and Responsibilities

• You must provide accurate, current, and complete information during registration and keep your account information up to date.
• You are responsible for maintaining the confidentiality and security of your account credentials and any login methods associated with your account.
• You are responsible for all activity that occurs under your account, whether or not authorized by you.
• You must notify us immediately at privacy@settlmove.com if you suspect unauthorized access to or use of your account.
• Business Customers are responsible for the accounts and actions of any staff members they invite to the Platform.

3. Platform Services

Settl provides software tools and related services for moving companies and their customers. The Platform may include functionality for job creation and scheduling, customer and job management, team coordination, communications, payment facilitation, tracking, reporting, and other related features that we may offer from time to time.

SIDAN Corp provides a technology platform only. We are not a moving company and do not perform moving services. Any relationship relating to moving services is solely between the applicable Business Customer and End User, and we are not a party to that relationship.

3.1 Communications and SMS Consent

By providing a mobile phone number and using features that rely on text messaging, you consent to receive service-related SMS messages (such as job updates and account notifications) from or on behalf of the Platform. Message and data rates may apply, and message frequency varies. You may opt out of non-essential text messages at any time by replying STOP, and you may reply HELP for assistance. Opting out of service messages may limit certain Platform functionality. Your wireless carrier is not liable for delayed or undelivered messages.

4. Acceptable Use

You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations. You shall not:

• Use the Platform for any illegal, fraudulent, or unauthorized purpose.
• Attempt to gain unauthorized access to any portion of the Platform, other accounts, or any systems or networks connected to the Platform.
• Interfere with or disrupt the integrity, performance, or availability of the Platform.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform.
• Use the Platform to transmit any malicious code, viruses, or harmful content.
• Scrape, harvest, or collect data from the Platform through automated means without our prior written consent.
• Sublicense, resell, or redistribute access to the Platform to any third party, except as expressly permitted.

Violation of this section may result in immediate suspension or termination of your account.

5. Subscriptions, Billing, and Payment Processing

5.1 Subscription Plans

Access to the Platform requires a paid subscription. Current subscription tiers and pricing are presented during the signup process. SIDAN Corp reserves the right to modify subscription pricing with thirty (30) days' prior written notice to active subscribers.

5.2 Billing Cycle

Subscriptions are billed on a monthly cycle. Eligible new subscriptions include a fourteen (14) day free trial. Unless you cancel before the trial period ends, you authorize SIDAN Corp to charge the payment method on file for the applicable subscription fee at the beginning of the first paid billing cycle and each renewal cycle thereafter.

5.3 Payment Processing

Certain payment services made available through the Platform may be provided by third-party payment processors. By using those payment features, you agree to the applicable third-party terms. Payment credentials and related billing information may be collected and processed by such providers in accordance with their own terms and policies.

5.4 Cancellation

You may cancel your subscription at any time directly from your account settings in the Portal, with no requirement to call or email us. Upon cancellation, you will retain access to the Platform through the end of your current billing period. No prorated refunds will be issued for the remaining portion of a billing cycle. Where required by applicable law, we will provide advance notice of upcoming automatic renewals.

5.5 Refunds

If you request a refund within thirty (30) days of your first paid subscription charge, SIDAN Corp will issue a full refund of the subscription fee in accordance with the 30-day refund guarantee presented at signup. To request a refund, contact us at privacy@settlmove.com. After that 30-day period, refunds are issued only where required by applicable law.

6. Intellectual Property

6.1 SIDAN Corp Property

The Platform, including all software, design, text, graphics, interfaces, and underlying technology, is the exclusive property of SIDAN Corp and is protected by applicable intellectual property laws. These Terms do not grant you any ownership interest in the Platform. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely in accordance with these Terms.

6.2 Your Content

You retain full ownership of all content you upload, submit, or transmit through the Platform, including business information, branding materials, records, media, and other content ("Your Content").

6.3 License Grant to SIDAN Corp

By uploading or submitting Your Content to the Platform, you grant SIDAN Corp a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, process, and display Your Content solely for the following purposes:

• Operating, providing, securing, and maintaining the Platform and its features.
• Improving, developing, and supporting the Platform and related services, consistent with these Terms and our Privacy Policy.
• Generating aggregated or de-identified analytics and insights.

6.4 Feedback

If you provide suggestions, ideas, or feedback regarding the Platform ("Feedback"), you grant SIDAN Corp an unrestricted, irrevocable, perpetual, royalty-free license to use such Feedback for any purpose without obligation or compensation to you.

7. Data Sharing on the Platform

As a dual-sided platform, certain information is shared between Business Customers and End Users to facilitate moving services. By using the Platform, you acknowledge and consent to the following:

• Business Customers may access information reasonably necessary to manage jobs, communicate with End Users, and administer services and payments.
• End Users may access information reasonably necessary to identify the applicable Business Customer, review service and scheduling details, receive service updates, and view pricing or payment status.

Business Customers are responsible for handling End User data in compliance with all applicable privacy laws. SIDAN Corp is not liable for a Business Customer's misuse of End User personal information obtained through the Platform.

Where a Business Customer acts as the controller of End User personal information and SIDAN Corp processes that information on the Business Customer's behalf, SIDAN Corp will process such information in accordance with these Terms and our Privacy Policy. A Business Customer that requires a separate Data Processing Addendum to satisfy its own legal obligations may request one by contacting privacy@settlmove.com.

8. Termination and Account Closure

8.1 Termination by You

You may close your account at any time by contacting us at privacy@settlmove.com. Upon cancellation, you will retain access through the end of your current billing period.

8.2 Termination by SIDAN Corp

We may suspend or terminate your access to the Platform immediately, without prior notice, if you: (a) violate these Terms; (b) engage in conduct that could cause harm, liability, or disruption to the Platform or other users; (c) fail to pay applicable subscription fees; or (d) use the Platform in a manner that is illegal or fraudulent.

8.3 Effect of Termination

Upon termination of a Business Customer account, access to the Platform may be suspended or discontinued. Subject to applicable law and our then-current retention practices:

• You may request export of certain account data for a limited period after termination by contacting privacy@settlmove.com.
• Associated End User access may also be discontinued.
• SIDAN Corp may retain, use, delete, or de-identify account data in accordance with our Privacy Policy, legal obligations, and internal recordkeeping requirements.

8.4 Survival

Sections 6 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 12 (Dispute Resolution), and 14 (General Provisions) shall survive any termination or expiration of these Terms.

9. Disclaimers

The platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, SIDAN Corp disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, SIDAN Corp does not warrant that: (a) the platform will be uninterrupted, error-free, or completely secure; (b) any defects will be corrected; (c) the platform will meet your specific requirements; or (d) the results obtained from use of the platform will be accurate or reliable.

SIDAN Corp is a technology provider and does not provide moving services. We make no representations or warranties regarding the quality, safety, legality, or timeliness of any moving services arranged through the Platform.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall SIDAN Corp, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of or inability to use the platform, regardless of the theory of liability, even if SIDAN Corp has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, SIDAN Corp's total aggregate liability arising out of or related to these terms or your use of the platform shall not exceed the total amount you paid to SIDAN Corp in subscription fees during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation, gross negligence, willful misconduct, a party's indemnification obligations, breach of confidentiality obligations, or infringement of the other party's intellectual property rights.

11. Indemnification

You agree to indemnify, defend, and hold harmless SIDAN Corp, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any content you upload or submit to the Platform; or (e) any dispute between a Business Customer and an End User regarding moving services.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at privacy@settlmove.com and attempt to resolve the dispute informally for a period of at least thirty (30) days.

12.2 Binding Arbitration

If the dispute cannot be resolved informally, you and SIDAN Corp agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in the State of Delaware. The arbitrator's decision shall be final and binding.

12.3 Class Action Waiver

You and SIDAN Corp agree that each party may bring disputes against the other only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative action.

12.4 Exception: Injunctive Relief

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction in the State of Delaware to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or data protection requirements.

12.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

12.6 Right to Opt Out of Arbitration

You may opt out of the binding arbitration and class action waiver provisions of this Section by sending written notice of your decision to opt out to privacy@settlmove.com within thirty (30) days of first accepting these Terms. Your notice must include your name and the email address associated with your account. If you opt out, neither you nor SIDAN Corp will be required to arbitrate disputes, and opting out has no effect on any other provision of these Terms.

12.7 Small Claims

Notwithstanding the arbitration provisions above, either party may bring an individual claim in a small claims court of competent jurisdiction, provided the claim qualifies for and remains within that court's jurisdiction.

13. Force Majeure

SIDAN Corp shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, government actions, labor disputes, power or internet outages, failures of third-party service providers, or cyberattacks.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and SIDAN Corp regarding the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.

14.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

The failure of SIDAN Corp to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of SIDAN Corp.

14.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of SIDAN Corp. SIDAN Corp may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of all or substantially all of its assets.

14.5 Notices

Notices to SIDAN Corp should be sent to privacy@settlmove.com. Notices to you will be sent to the email address associated with your account. Notices are deemed received when sent via email.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Effective Date" at the top of this page.
• Provide notice through the Platform or via email for significant changes.
• Provide at least thirty (30) days' notice before material changes take effect.

Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of the revised Terms.
